Essa transa\u00e7\u00e3o faz parte da estrat\u00e9gia de crescimento do <strong>XP Log<\/strong>, focando na consolida\u00e7\u00e3o de ativos log\u00edsticos de alto padr\u00e3o.<\/p>\n<p>Para os investidores dos <strong>FIIs<\/strong> da <strong>RBR<\/strong>, a avalia\u00e7\u00e3o \u00e9 <strong>neutra<\/strong>, dado que o valor da transa\u00e7\u00e3o ser\u00e1 inferior ao das negocia\u00e7\u00f5es anteriores, resultando em uma margem menor.<\/p>\n<p>No fim de junho, o XPLG11 anunciou uma carta de inten\u00e7\u00f5es para comprar todos os im\u00f3veis dos RBRL11 e RDLI11, em uma transa\u00e7\u00e3o que pode chegar a <strong>R$ 1,54 bilh\u00e3o<\/strong>.<\/p>\n<p>O pagamento ser\u00e1 principalmente feito por meio da emiss\u00e3o de novas cotas do XP Log (cerca de R$ 1,13 bilh\u00e3o), complementado por R$ 395,7 milh\u00f5es em dinheiro e R$ 20 milh\u00f5es atrav\u00e9s da assun\u00e7\u00e3o de obriga\u00e7\u00f5es financeiras.<\/p>\n<p>Os analistas <strong>Bernardo Noel<\/strong> e <strong>Luis Assis<\/strong> da Genial destacam que os im\u00f3veis est\u00e3o localizados em \u201cregi\u00f5es log\u00edsticas consolidadas\u201d, com foco em ativos situados a 30 km e 90 km da capital paulista.<\/p>\n<p>O portf\u00f3lio-alvo abrange aproximadamente 380 mil metros quadrados, distribu\u00eddos em sete galp\u00f5es de padr\u00e3o <strong>AAA<\/strong>, todos com <strong>100% de ocupa\u00e7\u00e3o<\/strong>.<\/p>\n<p>Entre os principais im\u00f3veis est\u00e3o o Bricklog Guarulhos (SP), o CL Imigrantes V (em constru\u00e7\u00e3o em S\u00e3o Bernardo do Campo), al\u00e9m dos centros log\u00edsticos em Extrema (MG) e Hortol\u00e2ndia (SP).<\/p>\n<p>Segundo a Genial, todos os ativos est\u00e3o alinhados \u00e0s necessidades de empresas de <strong>e-commerce<\/strong> e opera\u00e7\u00f5es log\u00edsticas.<\/p>\n<p>A opera\u00e7\u00e3o deve aumentar a presen\u00e7a do XP Log na Grande S\u00e3o Paulo, reduzindo a taxa de vac\u00e2ncia da carteira de 7,9% para 5,7%.<\/p>\n<h3><strong>O que esperar do fundo ap\u00f3s a aquisi\u00e7\u00e3o?<\/strong><\/h3>\n<p>Ap\u00f3s a incorpora\u00e7\u00e3o, o XPLG11 ter\u00e1 25 galp\u00f5es, tornando-se o terceiro maior fundo imobili\u00e1rio no segmento log\u00edstico em termos de patrim\u00f4nio l\u00edquido, atr\u00e1s apenas de <strong>BTLG11<\/strong> e <strong>HGLG11<\/strong>.<\/p>\n<p>Apesar da expans\u00e3o, a Genial projeta uma leve diminui\u00e7\u00e3o no <strong>yield mensal<\/strong>, de R$ 0,82 para R$ 0,81, embora a rentabilidade ainda se apresente atrativa, superando a de pares do setor em rela\u00e7\u00e3o \u00e0 cota patrimonial.<\/p>\n<h3>Ponto de aten\u00e7\u00e3o<\/h3>\n<p>A maior parte do pagamento ser\u00e1 feita em novas cotas do XPLG11, com a RBR Asset mantendo cerca de 25% do fundo. Esse aspecto requer aten\u00e7\u00e3o dos investidores.<\/p>\n<p>A expectativa \u00e9 que a venda dessa posi\u00e7\u00e3o no mercado secund\u00e1rio comece no segundo semestre de 2025 e se conclua at\u00e9 o final de 2026.<\/p>\n<p>No entanto, esse prazo pode se estender, pois a liquidez di\u00e1ria n\u00e3o depende apenas de ordens da RBR.
